Terms of service
Draft of 2 October 2026 — to be read by an accountant and a lawyer; not yet in force.
These terms are the contract between Parsing Ltd and the business that uses FieldWake: what it gets, what it costs, how it is paid for and how it ends. They are a translation; the Bulgarian text binds.
1. The parties
FieldWake is provided by „Парсинг“ ООД (Parsing Ltd), UIC 205338328, VAT No. BG205338328, registered office Elite Lodge, Peshterite 6, Bansko 2770, Bulgaria — “Parsing” below.
The customer is the business the account is opened for and in whose name the invoices are issued. FieldWake is provided only to businesses registered in a member state of the European Union — never to consumers.
2. The service
FieldWake is a web platform for GPS tracking of vehicles and machinery: a live map, reports, alerts and the data the trackers in the customer's vehicles and machines send. It runs in a browser at app.fieldwake.net, a phone's included.
The trackers and their installation are not part of the service: partners supply and fit them, by arrangement with the customer. Parsing does not answer for the devices or their installation, nor for the coverage of the mobile network the trackers send their data over.
Parsing makes no commitment to any particular uptime and does not guarantee that every position a tracker sends will be received. The reports and alerts help the customer run its fleet; they are not legal, tax or accounting advice.
3. The account and its users
The account is opened by Parsing; there is no sign-up for the customer to do. The account's owner invites users in any role — owner, manager, operator or viewer — and a manager invites operators and viewers. Every action in the account is recorded in the audit trail.
The customer answers for the people it gives access to, for the keeping of their passwords, and for everything done with its account.
The customer decides which vehicles and machines to track. It answers for having a basis to do so and for having told the people who drive and operate them — the drivers, the operators and anyone whose route a tracker records.
4. The price
The subscription costs €6.00 net of VAT per tracker per month (€7.20 with VAT), the same for every tracker model, unless another price is agreed with the customer in writing. Amounts are in euro.
VAT is added to the price: 20% for a Bulgarian company. A business in another EU member state whose VAT number validates in VIES when the invoice is issued is invoiced without VAT, under reverse charge.
5. The free period
A new fleet uses the service free for 14 days from the day Parsing switches billing on for its account. The dates are shown on the Invoices & payment page.
A subscription cancelled during the free period is never invoiced at all.
6. Invoices
The subscription falls due on the 1st of each month, for the month that starts. The invoice carries that date as the date of the taxable event, is issued no later than 5 days after it and is emailed as a PDF to the customer's invoice email; every invoice is also on the Invoices & payment page.
The invoice counts the trackers on the account on the 1st. A tracker added or removed later shows on the next invoice: no credit note is issued, and nothing is charged extra, for part of a month.
The first invoice after the free period also carries the days from its end to the start of the month, in proportion to the days in that month.
An issued invoice is never altered. An invoice with an error is annulled and a new one issued in its place, or it is corrected with a credit note.
7. Payment
Invoices are paid by SEPA Direct Debit from the customer's bank account, through Stripe — Parsing's payment provider. The mandate is set up by the account's owner on the Invoices & payment page, in Stripe's form. Parsing never receives the account number; it keeps only its last four characters and the mandate's reference.
The invoice email is also the notice of the debit: it gives the amount, the account and the day on or after which it is collected. The debit is created no sooner than 2 days after the email is sent.
Without a mandate, an invoice is paid by bank transfer to the account printed on it, quoting its number. Card payments are not accepted.
8. If an invoice is not paid
An invoice is due within 30 days of its date.
If the bank refuses a debit, the customer is emailed the reason. If the mandate is still active and there is time before the deadline, one more attempt is made 3 days later; otherwise there is none, and the invoice is paid with a new mandate or by bank transfer.
10 days before the deadline, the customer is sent a warning naming the day the account will be suspended.
If the invoice is still unpaid on that day, the account is suspended. Sign-in works and the Invoices & payment page stays open; everything else, alert emails and the daily digest included, stops until it is paid. The trackers keep sending their data, and the suspension deletes nothing. An account is never suspended without the warning, nor while a payment is being collected.
Paying reopens the account. An account suspended for 60 days is closed, and only Parsing can reopen a closed account.
If the bank takes back a debit already paid, the invoice is due again, with a fresh 30 days from the day it was taken back. Nothing is debited from the same mandate again: the invoice is paid with a new mandate or by bank transfer, and the warning and the suspension above apply again. Stripe's fee for the return is Parsing's to bear.
9. Changes to the price and to these terms
Parsing may change the price by written notice sent to the invoice email at least 30 days in advance. The new price applies from the first invoice after that period, and the customer may cancel before then, as set out below.
These terms change the same way: by notice at least 30 days before the change takes effect.
10. Cancellation by the customer
The subscription runs month to month and has no minimum term. The customer may cancel it at any time, with no notice period — on the Invoices & payment page, which the account's owner can do, or by writing to info@fieldwake.net.
The subscription ends on the last day of the month in which it is cancelled, in the account's time zone. The invoice of a month whose 1st falls on or before that day is owed in full; no later month is invoiced, and nothing is refunded for part of a month. Up to and including the last day, the owner can keep the subscription from the same page.
On the morning after the last day the account is closed: sign-in works and the Invoices & payment page stays open with every invoice, and the rest closes. The SEPA mandate is cancelled at Stripe once nothing is owed on the invoices; until then it stays, so that what is owed can be collected.
The trackers are not switched off: they keep sending data until they are removed from the account, and the data received is kept as the privacy policy says. A closed account can be reopened by writing to Parsing.
11. Termination by Parsing
Parsing may end the contract on 30 days' notice sent to the invoice email, or without notice if the customer materially breaches these terms — for example by using the service against the law, or against Google's or Esri's terms below.
Closing an account over an unpaid invoice is set out above and needs no separate notice.
12. Google Maps
FieldWake includes Google Maps features and content: the map of a fleet that has chosen Google's map, and the search for places on it. Their use is subject to the then-current Google Maps End User Additional Terms of Service and Google Privacy Policy, at these addresses:
13. Esri's satellite imagery
The satellite imagery in FieldWake is Esri's (World Imagery, through ArcGIS Location Platform) and is used under Esri's terms, which the customer and its users are bound to keep. The imagery may be viewed only within FieldWake. It may not be extracted, downloaded, copied, stored or scraped, and its source attribution may not be removed or covered.
The imagery may not be used in Russia or Belarus, nor access to it provided from there.
14. The data Parsing processes on the customer's behalf
For the fleet's data — the positions and trips of the vehicles and machines, the operators and drivers, the alerts, the costs and everything the customer's users enter — the customer is the controller, and Parsing processes it on the customer's behalf as a processor within the meaning of Article 28 of Regulation (EU) 2016/679 (the GDPR). Under these terms:
- Parsing processes the data only to provide the service — under these terms and the instructions the customer gives through its settings and actions in the account;
- Parsing's people who have access to it are bound to keep it confidential;
- Parsing protects it with appropriate technical and organisational measures: the app is reached over HTTPS only, passwords are kept only as a hash, access is by role, every action is recorded in the audit trail and a backup is made every day;
- Parsing uses the sub-processors listed in the privacy policy, and emails the customer before adding or replacing one of them, and the customer may object and cancel the subscription;
- Parsing helps the customer answer the requests of the people whose data is processed, and meet its duties of security, breach notification and impact assessment;
- Parsing notifies the customer without undue delay once it becomes aware of a breach of the security of its data;
- after the subscription ends, the data is kept for the periods in the privacy policy, and deleted earlier at the customer's written request, within one month;
- Parsing gives the customer the information needed to show that these duties are met, and cooperates with an audit.
15. Liability
Parsing's total liability to the customer under this contract is limited to what the customer paid for the service in the 12 months before the event the claim arises from. Parsing is not liable for lost profit or indirect loss, nor for data a tracker did not send or the mobile network did not deliver.
These limits do not apply to intent or gross negligence.
16. Acceptance
The customer accepts these terms when the account's owner confirms the SEPA mandate on the Invoices & payment page, where they are linked beside the form. The version in force is the one published at this address, with its date.
17. Governing law and disputes
The contract is governed by Bulgarian law. Disputes between the parties are decided by the competent Bulgarian court for Parsing's registered office.
The terms are written in Bulgarian and translated into English. Where the two texts differ, the Bulgarian prevails.
